Suzanne J. Woolley*

Suzanne has a general corporate and commercial practice, advising on a wide range of commercial contracts. She drafts and reviews agreements for the purchase and sale of goods/equipment, distribution, manufacturing, services, consulting, consignment, licensing, leasing, transportation, confidentiality and non-disclosure, non-compete/non-solicitation and unique commercial arrangements.

Suzanne has experience in major project work and advises on contracts relating to engineering, architectural and construction matters (including EPC, EPCM and other project and construction management arrangements, as well as the use of standard form industry contract templates) and on procurements processes and documentation such as RFQs and RFPs.

Her practice involves a variety of business transactions, with a focus on private company share and asset sales and acquisitions. Suzanne’s participation in these transactions includes preparation and negotiation of definitive purchase and sale agreements and drafting of other associated documents such as expressions of interest and letters of intent. Suzanne also handles other general corporate matters, including corporate restructurings and reorganizations and advising on corporate documents such as shareholder and partnership agreements.
