Shaun Partridge, KC,

Shaun Partridge, KC is a partner based in our Calgary office. Shaun practices in our Real Estate and Corporate Commercial practice groups and has a practice that encompasses a broad range of sophisticated real estate and corporate–commercial transactions including corporate reorganizations and restructuring, real estate acquisition and disposition, development and financing.

Shaun represents investors, developers and end-users with the acquisition, financing, development and disposition of all types of commercial property and has assisted clients in projects such as: development of residential subdivision developments; development of office and industrial parks; development and structuring of numerous condominium projects; and commercial lease negotiations for a wide variety of tenants and landlords.

Shaun also provides advice to domestic and international corporations and public institutions in relation to corporate structures and governance, the drafting and negotiation of contracts and agreements, private mergers and acquisitions, private equity, start-ups and corporate governance and compliance.

Shaun was appointed Queen’s Counsel in 2014.

Examples of Shaun’s recent experience include:

• Acting for buyers and sellers of various retail properties, shopping centers, office buildings and industrial buildings
• Acting in relation to numerous dispositions of syndicated development land parcels held in undivided ownership structures involving hundreds of domestic and foreign investor owners and advising in relation to related foreign ownership issues
• Acting for a developer in relation to a 2000 unit mixed commercial and residential subdivision in Fort McMurray, Alberta
• Acting for various developers in connection with corporate structuring of development ventures, site acquisition, subsequent development work and project marketing and presale matters for various residential and mixed use projects
• Advising clients in a variety of general corporate and commercial matters, including mergers, business acquisitions, preparation and negotiation of shareholder's agreements and limited partnership agreements
• Acting for clients in relation to secured lending transactions in respect of acquisitions, construction projects and investment properties
• Acting as counsel to a seniors care facility operator in connection with its acquisition, financing and operation of various of seniors care facilities
• Acting as Alberta counsel for a seniors care facility operator in connection with the acquisition and financing of an Alberta portfolio of seniors care facilities and a related corporate restructuring
• Acting for an Alberta based drug producer in relation to the sale of its business to an international entity
• Acting in relation to the purchase of several hotel purchases and the related negotiation and preparation of hotel management, franchise and lease arrangements
