David practices primarily in the areas of mergers and acquisitions, corporate and commercial and corporate finance and securities law. David has extensive experience focused on advising private and public company clients on transactional and corporate commercial matters, corporate reorganizations and restructurings, as well as corporate governance issues. He works with clients at all stages of development, from senior public companies to startups and entrepreneurs, and represents clients across a variety of industries, particularly forestry, services and technology.

David has represented and worked closely with significant businesses in a variety of industries, including forestry, technology, and services, as well as with emerging growth companies and entrepreneurs. Major representative transactional work includes the sale and purchase of numerous large scale manufacturing and processing operations and businesses; multi jurisdictional structured sale transactions; private equity and venture capital investments; convertible debt financings; early stage financings and corporate restructuring transactions and proceedings.

Recent representative experience includes advising:

  • Canfor Corporation in a USD$315 million loan agreement with an affiliate of Farallon Capital Management, L.L.C.
  • A public technology company in its sale of North American divisional assets
  • A public technology company on the sale of international divisional assets
  • Multiple tranche private placement transactions and corporate reorganization for a private agri-tech company
  • A multinational public company on the acquisition of industrial and service assets in Alberta and British Columbia
  • A private European manufacturer of a BC based technology company
  • A multinational large private equity firm on the acquisition of a Western Canadian consumer products company
  • A private company on the sale of its BC marina assets
  • Advising an internationally based client on its sale of a its Western Canadian forest products facility 
  • Ongoing counsel for a major Canadian public forest products company on numerous projects, including acquisition and dispositions, commercial matters, disclosure matters and government issues
