Biography

James practices primarily in the areas of banking, mergers and acquisitions, and general corporate commercial law.

In his banking practice, James acts primarily for banks and private lenders in secured and unsecured financing and leasing transactions. He has experience with various syndicated and bi-lateral lending arrangements, including merger and acquisition finance as well as significant experience with distressed debt financing.

His corporate transactional practice includes a wide range of transactions including share and asset acquisitions and divestitures, corporate reorganizations, private placements of shares, and convertible instruments.

In addition to transactional work, James regularly drafts, negotiates and advises on contracts relating to ongoing business matters and operations including service agreements, supply agreements, non-disclosure agreements, lease and licence agreements, shareholder agreements, and partnership agreements.  He regularly provides advice to clients on compliance with Alberta’s Foreign Ownership of Land Regulations.

James’ experience extends to a broad range of business sectors including agriculture, manufacturing, commercial and residential real estate, oil and gas, clean technology, and a variety of service providers.  He assists domestic and international clients at every stage of their business-cycle and works with both public and private companies, including start-ups and entrepreneurs.
